Terms of Service

1. What ClinTalk Is
ClinTalk ("ClinTalk", "we", "us") is an AI-powered training simulator that lets medical and healthcare students practice patient-communication skills against simulated ("virtual") patients, and receive structured, automated feedback on their performance. These Terms of Service ("Terms") govern your access to and use of the website, applications, and related services available at clintalk.app (the "Service").
The Service is operated by BVS Trade F.Z.C, a company registered in Ajman Free Zone, Ajman Free Zone Building B1, office 550, United Arab Emirates ("Company", "we").
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility & Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. The Service is intended for healthcare-education professionals, students, instructors, and institutions — it is not directed at children.
Accounts can be accessed through a sign-in link or one-time code sent to your email address. After verifying your email, you may also enable password sign-in in My settings. You are responsible for keeping access to your email and password secure and for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized use of your account.
One account is for use by a single named individual, unless you access the Service through an institutional or group arrangement that expressly permits shared administration (e.g., a teacher or coordinator role over student accounts they administer).
3. Subscriptions & Billing
Certain features of the Service require a paid subscription. Plans, pricing, currency, and billing interval are shown to you at checkout before you pay.
- Recurring billing. Paid subscriptions renew automatically for successive periods of the same length as your plan's billing interval, at the then-current price, until you cancel.
- Cancellation. You may cancel at any time from your account settings. Cancellation stops future renewals; you keep access to paid features until the end of the period you already paid for.
- No refunds. Except where required by mandatory law that cannot be waived in your jurisdiction, payments are non-refundable, including for partial billing periods and unused access.
- Trial or promotional access. We may offer trial access, promotional codes, or discounts at our discretion. These are limited, non-transferable, may be capped or time-limited, have no cash value, and may be modified or withdrawn for future signups at any time.
- Payment processing. Payments are handled by a third-party payment processor. We do not store your full card number. Your payment also remains subject to that processor's own terms.
- Price changes. We may change subscription prices for future billing periods; where required by law, we will give you advance notice before a price change applies to your renewal.
4. Acceptable Use
You agree not to:
- use the Service to make, or in place of, an actual clinical, diagnostic, or treatment decision about a real patient;
- attempt to extract, reverse-engineer, or misuse the underlying prompts, models, or system instructions powering the Service;
- scrape, crawl, or programmatically access the Service outside of any API we explicitly publish;
- upload or transmit unlawful, infringing, or abusive content, or attempt to harass, deceive, or impersonate the simulated patient or other users;
- interfere with or disrupt the integrity or performance of the Service, or attempt to bypass access controls, rate limits, or payment gates;
- use the Service in violation of applicable law, including export control and sanctions law (see Section 9).
5. Content & Intellectual Property
The Service, including its software, avatars, clinical scenarios, scoring rubrics, and underlying design, is owned by the Company or its licensors and protected by intellectual-property law. We grant you a limited, personal, non-exclusive, non-transferable license to use the Service for its intended educational purpose, subject to these Terms.
You retain your rights in the content you submit (e.g., your spoken or typed responses during a session). By using the Service, you grant us a license to process that content as needed to operate the Service — including generating the simulated patient's responses, computing feedback and scores, and, in aggregated or de-identified form, improving the Service. Details of how we process this data are set out in our Privacy Policy.
6. Educational Purpose Only — No Medical Advice
ClinTalk is a training and educational simulation tool. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for supervised clinical training, a licensed healthcare professional's judgment, or an accredited curriculum's own assessment standards. The "patients" in the Service are entirely simulated (AI-generated) and do not represent real individuals or real medical cases. Feedback, scores, and rubric outputs generated by the Service are automated approximations intended for self-reflection and skills practice — they are not a certification of clinical competence and must not be relied upon as such without independent review by a qualified instructor or institution.
7. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.
To the fullest extent permitted by applicable law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable mandatory law.
8. Suspension & Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or where we reasonably believe suspension is necessary to comply with law (including sanctions law) or to protect the Service or other users. Where reasonably practicable, we will give you notice before termination for non-urgent reasons.
9. Sanctions & Export Compliance
You represent that you are not located in, ordinarily resident in, or accessing the Service from a country or region subject to comprehensive sanctions administered by the United Arab Emirates, the United States, or the United Nations, and that you are not identified on any applicable restricted- or denied-party list. You agree not to use the Service in violation of applicable export control or sanctions law.
10. Governing Law & Disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman, without regard to conflict-of-laws principles, subject to any mandatory consumer-protection rights you may have under the law of your own country of residence, which are not waived by this clause. The courts of Ajman, United Arab Emirates shall have jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory local law requires a different forum.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service before the change takes effect. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
